What else do I need to know about SEIS/EIS?


  • What are SEIS and EIS?

    The Enterprise Investment Scheme (EIS) and the Seed Enterprise Investment Scheme (SEIS) are UK government initiatives which grant private investors a significant tax break when investing in early-stage, ‘high-risk’ companies.
  • What’s the difference between SEIS and EIS?

    The Seed Enterprise Investment Scheme is for investments in early-stage companies.

    The Enterprise Investment Scheme is for investments in medium-sized startups.

    With both schemes, investors can invest in qualifying companies in return for Income Tax relief. For SEIS, they can invest up to £200,000 per tax year for 50% tax relief.
    For EIS, it’s up to £1 million per tax year for 30% tax relief.

    For both SEIS and EIS, investors pay no Capital Gains Tax on any profit they make from selling their shares, as long as they’ve held the shares for at least three years.
  • What tax relief can investors claim under SEIS and EIS?

    Income Tax relief

    Under SEIS, investors get back 50% of the amount they invested as a reduction in your Income Tax bill. Under EIS, investors get 30% of the amount they invested as a reduction in your Income Tax bill.

    Capital Gains disposal relief

    Normally when investors sell their shares, they pay Capital Gains Tax on the profit they make. But with SEIS and EIS, they get to keep it all.

    Loss relief

    If they haven’t made a profit when they sell their shares, they can set that loss against their Income Tax bill.

  • How do investors claim SEIS/EIS tax relief?

    First, investors need to make sure that the company they’re investing into and their investment is eligible for SEIS and EIS. We list the scheme rules in SEIS rules and benefits and EIS rules and benefits.

    Companies can get pre-approval from HMRC that they meet the criteria through SEIS/EIS Advance Assurance.

    After the investment has been made, companies need to complete the SEIS/EIS compliance process, so that they can give their investors the documentation they need to complete their tax returns and claim their tax relief.
