What’s the problem with fundraising and what are we doing about it?
It can cost as much as $30,000 or $50,000 for the legal fees to complete a funding round. Faced with costs like these, many founders kick the can down the road and download a SAFE agreement instead (Simple Agreement for Future Equity) – a deceptively simple document that lets startups take funds immediately in exchange for equity given at a later funding round.
But there are a couple of catches. Founders rely on SAFE after SAFE, only to still have to end up spending significant amounts on the formal funding round later. What’s more, while SAFEs can feel like a shortcut, they come with risks that aren’t always obvious. The Y Combinator post-money SAFE, for instance, can lead to substantial dilution if you’re not clear on how the mechanics work. And from our conversations with founders, it seems many are getting caught out and setting themselves up for more dilution than they bargained for.
