FAQs - Series A Funding Round

    • What legal documents do I need for a Series A funding round?

The main funding documents you’ll need for your Series A funding round are:
      • Term Sheet
      • Shareholders Agreement
      • Articles of Association
      • Disclosure Letter
      • Previous Investor Consent
      • Preemption Notice
      • Board Resolution
      • Shareholders Resolution
      • SH01 Form

With SeedLegals, all these documents are generated automatically and updated dynamically. There might be other supporting documents involved in Series A rounds - whenever you need help, our expert team and network of lawyers are available.

When you’re ready to complete your round, all parties sign online and your documents are stored securely on SeedLegals.
    • What's the difference between a Seed Round and Series A Round?

A Seed Round is likely to be a company's first formal funding round. Before the Seed Round, the company might have taken pre-seed investment as one-off sums, or as a Bootstrap Round or via crowdfunding.

Series A is the funding round that follows a Seed Round. A company might raise Series A financing to grow the business, to continue developing the products or service, and to hire more people.

Like a Seed Round, Series A is equity-based so the company receives money from investors in exchange for shares in the company.

After Series A, if the company needs to continue fundraising, the next round would be Series B, followed by Series C and so on.
    • How much do companies usually raise in a Series A funding round?

Companies usually aim to raise substantially more in a Series A than in their Seed Round, usually £2million or more in the UK.
    • Who can invest in a Series A funding round?

In a Series A round, your investors could be individuals (angel investors) and/or venture capital firms (VCs). The investors who put in the most money are likely to be VCs.
    • How long does it take to do a Series A funding round?

We recommend you allow at least eight weeks to complete your Series A to make sure all parties are commercially aligned. When all parties reach a deal, our platform can help to close your round quickly. We've completed Series A rounds in just a few weeks. In 2021, we helped a company complete a £2million round in just nine days. That was pretty fast, even for us.
    • How much will it cost to do my Series A round with SeedLegals?

It depends on how much you raise. To find out the fee, use our calculator.

To do your Series A round with us, you'll need to be a SeedLegals member - this costs from £49/month. Read more on our Pricing page.

There are no billable hours - unlimited support from the SeedLegals team is included. However, in later-stage rounds such as Series A and beyond, there might be complex issues that are outside our areas of expertise. For example, if your company operates in a jurisdiction that we don't yet support. In these cases, we'll let you know as soon as possible that we need to refer you to an expert, and then you can choose to engage them separately, at your own cost.
    • Can I use SeedLegals instead of a law firm for my Series A round?

Yes, you can use SeedLegals for your Series A funding round, from start to finish. Our in-house team and network of lawyers will work together to get your funding round done.

We’ll set up your round on SeedLegals to match your investor’s Term Sheet. You can then share documents, negotiate and track your progress. Our team can help you recognise which deal terms are reasonable and which to push back on, to make sure you and your company get the best possible deal.

Use the Data Room to share documents with investors for their due diligence checks. When you’re ready, all parties sign online and your documents are stored securely.

You'll need to collect the money from your investors - you’ll need a bank account ready to accept the payment(s).

Whenever you need any help, just ask us.
    • Do I need to have used SeedLegals for previous funding rounds to do a Series A?

No, you can create a SeedLegals account anytime. You’ll get 7 days to try us out for free. To see how it works, ask us for a demo.
