But that\u2019s not the best approach. Getting this right at the start makes things easier when hiring early employees down the line.<\/p>\n<p>In this article, we\u2019ll explain:<\/p>\n<ul>\n<li>the difference between authorized and issued shares,<\/li>\n<li>how to save yourself admin and keep flexibility for share awards, and<\/li>\n<li>how much room you should leave in your cap table at the start.<\/li>\n<\/ul>\n<h2>What\u2019s the difference between authorized and issued shares?<\/h2>\n<p>When you form a Delaware C-corp (which is the standard structure for most startups), you set a specific number of <strong>authorized shares<\/strong>. This is the total number of shares that are authorized to be granted to shareholders. This number is found in your Certificate of Incorporation.<\/p>\n<p>Issued shares are the shares the company has actually granted to shareholders, usually to the founders and early team members.<\/p>\n<p>So, if your company has 10 million authorized shares and you\u2019ve issued 6 million, that means 4 million remain unissued \u2013 they\u2019re available to issue in the future (for example, when hiring or for creating an option pool).<\/p>\n"},{"acf_fc_layout":"content_highlight","highlight_type":"tip","background_colour":"blue","show_icon":true,"content":"A quick guide to key share terms:<br \/>\r\n<ul><br \/>\r\n  <li><b>Authorized shares:<\/b> The total number of shares your company can issue, as defined in your Certificate of Incorporation.<\/li><br \/>\r\n  <li><b>Issued shares:<\/b> Shares that have <em>actually<\/em> been granted to shareholders.<\/li><br \/>\r\n  <li><b>Unissued shares:<\/b> The difference between authorized and issued. This is your 'reserve' for future hires or investors.<\/li><br \/>\r\n<li><b>Fully diluted ownership:<\/b> Your ownership percentage assuming all potential shares are issue, including the option pool and convertible instruments like SAFEs or notes. It's calculated by dividing your shares by the total number of fully diluted shares.<\/li><br \/>\r\n<\/ul><br \/>\r\n<em>Current<\/em> ownership (different from <em>fully diluted<\/em> ownership) is calculated based only on issued shares. So, if you\u2019ve issued 6 million of 10 million authorized shares, and you own 3 million of them, then you own 50% of the company (not 30%).","link":null},{"acf_fc_layout":"text","text":"<h2>Why is it helpful to leave some shares unissued?<\/h2>\n<p>Let\u2019s say you authorize 10 million shares when you incorporate (this is a common starting point). You and your co-founder want to own the company 50\/50, so you issue all 10 million right away (5 million each).<\/p>\n<p>A few months later, you want to hire a top-tier CTO and offer them 5% equity.<\/p>\n<p>But at that stage, all your stock has already been issued. That means you\u2019ll have extra paperwork to do before you can grant more shares.<\/p>\n<p>At incorporation, your company will typically only have \u2018common stock\u2019. When you raise your first investment round, you\u2019ll usually issue \u2018preferred stock\u2019 to investors. So you\u2019ll need to update your Certificate of Incorporation and authorize more shares at that point anyway.<\/p>\n"},{"acf_fc_layout":"content_highlight","highlight_type":"tip","background_colour":"blue","show_icon":true,"content":"<b>Common stock vs preferred stock<\/b><br \/>\r\n<ul><br \/>\r\n<li><b>Common stock:<\/b> Usually issued to founders and employees when the company is formed.<\/li><br \/>\r\n<li><b>Preferred stock:<\/b> Usually issued to investors when they invest. Preferred stock often comes with special rights (like priority on dividends or liquidation proceeds) that common stock doesn\u2019t have.<\/li><br \/>\r\n<\/ul><br \/>\r\nAuthorizing preferred stock will need you to update your Certificate of Incorporation, which will happen at your first funding round.","link":null},{"acf_fc_layout":"text","text":"<p>So, you\u2019ll have to choose one way to do this.<\/p>\n<p>You\u2019d need to either authorize more shares, transfer shares, or find another workaround. We cover each of these options in detail later in this article.<\/p>\n<p>Leaving 20-30% of your authorized shares unissued at the start means you can issue common stock to early team members without having to update your Certificate of Incorporation before your first funding round.<\/p>\n<p>You\u2019ll still need to authorize more shares when you do your fundraise to create preferred stock for investors. But this just avoids having to do it twice.<\/p>\n<h2>How much should founders issue to themselves?<\/h2>\n<p>A good starting point is to issue 80% to 90% of your authorised shares to the founding team when you incorporate.<\/p>\n<p>That leaves 10% to 20% unissued, giving you flexibility for things like early hires, granting equity to advisors, or creating or expanding your employee option pool. This is most useful if you expect to do any of these things before raising your first funding round.<\/p>\n<p>Here\u2019s how that might look in reality:<\/p>\n<p>Let\u2019s say you\u2019re two co-founders setting up your startup. You want to split ownership equally and leave room for hiring and growth.<\/p>\n<p>You <em>authorize<\/em> 10 million shares.<\/p>\n<p>You issue 9 million shares, split between the founders.<\/p>\n<ul>\n<li><strong>Founder A:<\/strong> 4.5 million<\/li>\n<li><strong>Founder B:<\/strong> 4.5 million<\/li>\n<\/ul>\n<p>That leaves 1 million unissued in reserve.<\/p>\n<p>This reserve gives you the flexibility to easily do things like set up an employee option pool or offer equity to key hires or early team members.<\/p>\n<p>You don\u2019t need to get the numbers perfect from day one, but starting with a flexible structure makes it much easier to grow your team and bring in investment later.<\/p>\n<p>If your founding team isn\u2019t fully in place yet, it might be worth having a bigger reserve, maybe leaving 40-50% unissued.<\/p>\n"},{"acf_fc_layout":"content_highlight","highlight_type":"tip","background_colour":"blue","show_icon":true,"content":"<b>Why is 10 million shares a common choice?<\/b> <br \/>\r\n<br \/>\r\nAuthorizing 10 million shares makes the numbers easier when granting equity, especially if you\u2019re putting in place a vesting schedule.<br \/>\r\n<br \/>\r\nFor example, 0.1% of 10 million shares = 10,000 shares. That\u2019s easy to split across a 4-year vesting schedule (about 208 shares per month).<br \/>\r\n<br \/>\r\nIf you only authorized 5,000 shares total, that same grant would be just 5 shares. Tricky to divide across each month without having to deal with fractional shares!","link":null},{"acf_fc_layout":"text","text":"<h2>I\u2019ve issued 100% of the authorized shares. What can I do?<\/h2>\n<p>If you\u2019ve already granted all your authorized shares, don\u2019t panic. You have a few ways to go:<\/p>\n<h3>Option 1: Authorize more shares<\/h3>\n<p>You can do this by filing an amendment to your Certificate of Incorporation in Delaware.<\/p>\n<p>This requires:<\/p>\n<ul>\n<li>Board and shareholder approval<\/li>\n<li>Submitting filings with the Delaware Division of Corporations (you\u2019d probably use a registered agent for this)<\/li>\n<li>Paying Delaware filing fees ($200-$500)<\/li>\n<\/ul>\n<p>This is the cleanest and safest approach. We\u2019ve even written <a href=\"https:\/\/seedlegals.com\/us\/resources\/how-to-amend-a-delaware-certificate-of-incorporation\/\" target=\"_blank\" rel=\"noopener\">a guide on filing an amended Certificate of Incorporation<\/a>.<\/p>\n<h3>Option 2: Transfer shares<\/h3>\n<p>You could transfer shares from a founder to a new team member.<\/p>\n<p>But this may:<\/p>\n<ul>\n<li><strong>Forfeit QSBS benefits:<\/strong> QSBS only applies to shares issued directly by the company, so both the founder and the recipient could lose potential tax advantages. Our QSBS guide for founders tells you how it works.<\/li>\n<li><strong>Trigger gift or capital gains tax:<\/strong> If the shares have value, transferring them might count as a taxable event. The IRS could treat it as a gift (potentially subject to gift tax) or a sale (triggering capital gains tax), even if no money changes hands.<\/li>\n<li><strong>Raise red flags with investors:<\/strong> Informal share transfers can make your cap table look messy. Future investors might also question how equity decisions have been handled and whether proper governance is in place.<\/li>\n<\/ul>\n<h3>Option 3: Buy back and re-issue<\/h3>\n<p>The company could buy back shares from the founders and reissue them to someone else.<\/p>\n<p>But this approach could:<\/p>\n<ul>\n<li>Trigger capital gains tax for the founder,<\/li>\n<li>Trigger ordinary income tax for the recipient, and<\/li>\n<li>Invalidate QSBS. QSBS requires shares to be newly issued by the company and held for five years (for full tax exclusion on stock issued after July 4, 2025). So reusing shares breaks that rule.<\/li>\n<\/ul>\n<p>So, use this option with caution and only with legal advice.<\/p>\n"},{"acf_fc_layout":"content_highlight","highlight_type":"tip","background_colour":"blue","show_icon":true,"content":"<b>Avoid promising equity informally<\/b><br \/>\r\n<br \/>\r\nMake sure you avoid promising someone shares unless the paperwork is done and approved.<br \/>\r\n<br \/>\r\nA casual 'we\u2019ll give you 5%' in a hiring meeting or over email isn\u2019t legally binding, but it can create expectations and damage trust if it doesn\u2019t happen. And importantly, whenever you promise someone a percent equity, you need to specify the date that the percentage is measured at because 5% of the equity today is very different to 5% in a year's time.
