","link":null},{"acf_fc_layout":"text","text":"<p>Let\u2019s run through an example to show how these work.<\/p>\n<p>\u200b\u200bImagine a startup called Nexora \u2013 they want to issue stock options to their employees.<\/p>\n<p>Say Nexora issue most of their employee stock options in two big rounds:<\/p>\n<ul>\n<li>$6 million in November 2025, and<\/li>\n<li>$5 million in February 2026.<\/li>\n<\/ul>\n"},{"acf_fc_layout":"content_highlight","highlight_type":"tip","background_colour":"blue","show_icon":true,"content":"When tracking your Rule 701 limits, the calculation for <b>stock options<\/b> is based on the exercise price \u2013 not the market value. <br \/>\r\n<br \/>\r\nBut most companies set the exercise price of stock options equal to the fair market value (FMV) anyway to meet tax rules.<br \/>\r\n<br \/>\r\nFor example, if you grant 100,000 options with a $5 exercise price, the Rule 701 value is 100,000 x $5 = $500,000.<br \/>\r\n<br \/>\r\nAnd for <b>restricted stock<\/b>, it\u2019s based on the FMV at the time of grant.<br \/>\r\n<br \/>\r\n\u26a0\ufe0f Setting the exercise price below FMV comes with tax risks (like 409A penalties). So even though they issued $11 million only a few months from one another, they never go above $10 million in a single year.<\/p>\n<p><strong>Rolling period:<\/strong> If Nexora uses a rolling 12-month window, each grant checks how much equity was issued in the 12 months before it.<\/p>\n<p>So, when they issue the $5 million in February 2026, they must look back to February 2025.
